Introduction<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms of Service (&#8220;Terms&#8221;) govern the use of the services, website, and customer portal provided by BOUNCEBUDS Fulfillment GROUP GmbH (&#8220;Bounce Buds Group,&#8221; &#8220;we,&#8221; &#8220;us,&#8221; or &#8220;our&#8221;).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Bounce Buds Group operates internationally in fulfillment, logistics, warehousing, e-commerce operations, Amazon FBA preparation, pick &amp; pack, labeling, packing, quality control, shipment preparation, and customer portal services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Germany operations are managed under BOUNCEBUDS Fulfillment GROUP GmbH. Certain warehouse and logistics infrastructures outside Germany may be provided through affiliated operational entities within the APEXX GLOBAL group structure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms are designed for business use and apply to all customers, authorized users, and business partners using our services, unless a separate written agreement signed by us expressly states otherwise.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">2. Acceptance of Terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">By accessing our website, using our customer portal, requesting a quote, placing an order, approving an operation, or otherwise using our services, you agree to be bound by these Terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you do not agree to these Terms, you must not use our services or customer portal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you act on behalf of a company or other legal entity, you represent and warrant that you are duly authorized to bind that entity to these Terms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">3. Description of Services<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We provide professional logistics and fulfillment services, which may include, without limitation:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>warehousing and storage;<\/li>\n\n\n\n<li>receiving and intake of goods;<\/li>\n\n\n\n<li>product counting, inspection, and operational handling;<\/li>\n\n\n\n<li>pick &amp; pack services;<\/li>\n\n\n\n<li>labeling and relabeling;<\/li>\n\n\n\n<li>packing and repacking;<\/li>\n\n\n\n<li>quality control and operational inspection;<\/li>\n\n\n\n<li>shipment preparation and dispatch coordination;<\/li>\n\n\n\n<li>Amazon FBA preparation and related service workflows;<\/li>\n\n\n\n<li>customer portal access, operational reporting, and service communication;<\/li>\n\n\n\n<li>other related logistics and fulfillment services agreed with the customer.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The exact scope of services depends on the individual order, quotation, service request, or portal-based instruction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We may update, improve, or modify our service offering over time to reflect operational, technical, or business requirements.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">4. Customer Portal and Account Use<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may provide customers with access to a customer portal for the management of service requests, operational instructions, account information, quotations, documents, and workflow visibility.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>maintaining accurate account information;<\/li>\n\n\n\n<li>ensuring that only authorized users access the portal;<\/li>\n\n\n\n<li>safeguarding login credentials and authentication methods;<\/li>\n\n\n\n<li>reviewing portal communications, quotes, approvals, and operational instructions promptly;<\/li>\n\n\n\n<li>ensuring that portal submissions reflect your intended instructions.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">You must immediately notify us if you become aware of unauthorized access, account misuse, or security concerns relating to your portal account.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We may suspend, restrict, or disable portal access where we reasonably believe this is necessary for security, compliance, operational integrity, or misuse prevention.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. Digital Acceptance and Portal Approvals<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You acknowledge and agree that digital acceptance methods are legally valid and binding for our services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This includes, without limitation:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>checkbox confirmations;<\/li>\n\n\n\n<li>click-to-accept actions;<\/li>\n\n\n\n<li>portal approvals;<\/li>\n\n\n\n<li>electronic submissions;<\/li>\n\n\n\n<li>service initiation requests submitted through the customer portal;<\/li>\n\n\n\n<li>email confirmations where recognized by our operational process.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">By submitting a digital approval or operation start request, you confirm that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>you have reviewed and accepted the relevant quote, scope, and operational conditions;<\/li>\n\n\n\n<li>you are authorized to make the relevant request;<\/li>\n\n\n\n<li>the instruction is accurate and binding for your company or account.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">By using the customer portal or submitting operational requests, you also acknowledge and accept the applicable Privacy Policy, operational procedures, and related service policies published by Bounce Buds Group, as amended from time to time.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Digital approvals and portal actions may be relied upon by us as valid evidence of acceptance and instruction.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">6. Fulfillment and Warehouse Operations<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Fulfillment and warehouse services are carried out based on the customer&#8217;s approved instructions, product specifications, declared information, and operational scope.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Operational services may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>receiving goods;<\/li>\n\n\n\n<li>warehouse intake and storage;<\/li>\n\n\n\n<li>order processing;<\/li>\n\n\n\n<li>inventory handling;<\/li>\n\n\n\n<li>picking, packing, labeling, sorting, bundling, and dispatch;<\/li>\n\n\n\n<li>quality control and operational checks;<\/li>\n\n\n\n<li>palletization, reprocessing, and related handling services.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We may perform services ourselves or through affiliated operational infrastructure within our group structure, depending on location, service type, workflow, and operational requirements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Operational timelines, service workflows, and handling procedures may vary depending on product type, volume, condition, carrier requirements, warehouse availability, and customer-specific instructions.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. Product Receiving, Counting and Inspection<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">When goods are received, we or our affiliated operational infrastructure may perform product intake, counting, visual inspection, damage checks, and basic operational verification.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You acknowledge that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>physical warehouse counts may differ from customer-declared quantities;<\/li>\n\n\n\n<li>packaging condition, carton integrity, and item condition may be recorded during receipt;<\/li>\n\n\n\n<li>operational records may be used as the reference point where discrepancies arise.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If customer-declared quantities differ from physical counts, warehouse records, system logs, operational reports, and where necessary security or camera records may be used to verify the intake and handling process.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We are not responsible for discrepancies caused by inaccurate declarations, missing information, damaged inbound packaging, mixed cartons, or incomplete preparation by the customer or its suppliers.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where additional work is required due to customer-side inaccuracies or packaging issues, we may charge additional operational fees for sorting, repacking, relabeling, correction, reprocessing, inspection, or extra handling.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8. International Logistics and Customs<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Our services may involve cross-border logistics, export and import coordination, customs-related handling, and international shipment workflows.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for ensuring that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>products are lawfully shipped, imported, stored, and exported;<\/li>\n\n\n\n<li>all customs, tax, labeling, documentation, and product compliance requirements are met;<\/li>\n\n\n\n<li>product declarations are accurate and complete;<\/li>\n\n\n\n<li>all required permits, certificates, and supporting documents are provided in a timely manner.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We may assist with logistics coordination and shipment preparation, but we do not act as the importer, exporter, customs broker, or legal compliance guarantor unless expressly agreed in writing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Delays or disruptions arising from customs authorities, border controls, marketplace systems, port congestion, documentation issues, or regulatory reviews are not within our direct responsibility.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Delivery Times and Carrier Responsibility<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Any delivery times, fulfillment lead times, processing times, transit times, or dispatch estimates provided by us are estimates only and are not guaranteed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Delivery and transit performance may be affected by factors outside our control, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>carrier delays;<\/li>\n\n\n\n<li>customs delays;<\/li>\n\n\n\n<li>marketplace delays;<\/li>\n\n\n\n<li>Amazon-related issues;<\/li>\n\n\n\n<li>port congestion;<\/li>\n\n\n\n<li>weather conditions;<\/li>\n\n\n\n<li>official authority delays;<\/li>\n\n\n\n<li>strikes, traffic disruptions, or network failures;<\/li>\n\n\n\n<li>supplier delays;<\/li>\n\n\n\n<li>incomplete or incorrect customer instructions.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Once goods are handed over to a carrier or logistics partner, responsibility for actual transport performance generally lies with the relevant carrier or service provider, subject to the applicable terms of that provider and any mandatory legal rules.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We will use reasonable operational efforts to coordinate and support shipment processing, but we do not guarantee delivery by any specific date or time unless we have expressly agreed to do so in writing.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">10. Restricted and Prohibited Products<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may refuse to receive, process, store, handle, or ship products that we consider, in our reasonable judgment, to be prohibited, unsafe, illegal, counterfeit, hazardous, non-compliant, or operationally unsuitable.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This may include products that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>violate applicable laws or regulations;<\/li>\n\n\n\n<li>infringe intellectual property rights;<\/li>\n\n\n\n<li>are counterfeit or suspected counterfeit;<\/li>\n\n\n\n<li>are hazardous or require special permits or handling not agreed in advance;<\/li>\n\n\n\n<li>are improperly declared or mislabeled;<\/li>\n\n\n\n<li>pose contamination, safety, security, or compliance risks;<\/li>\n\n\n\n<li>are incompatible with our warehouse, fulfillment, or carrier processes.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We reserve the right to request additional information, refuse service, isolate goods, suspend handling, or take other appropriate operational measures where necessary for safety, compliance, or risk control.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">11. Customer Responsibilities<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for ensuring that all goods, instructions, documents, and declarations provided to us are accurate, complete, lawful, and suitable for the requested service.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Without limitation, you are responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>correct product identification and descriptions;<\/li>\n\n\n\n<li>accurate quantity declarations;<\/li>\n\n\n\n<li>proper labeling and packaging;<\/li>\n\n\n\n<li>completeness of customs, shipping, and product information;<\/li>\n\n\n\n<li>compliance with marketplace, carrier, and destination-country requirements;<\/li>\n\n\n\n<li>providing all required operational instructions in a timely manner;<\/li>\n\n\n\n<li>ensuring that products are not prohibited or restricted unless expressly accepted by us in writing;<\/li>\n\n\n\n<li>checking your portal instructions, approvals, and operational confirmations before submission.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">You acknowledge that we are entitled to rely on information provided by you or your authorized representatives.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">We are not responsible for losses, delays, rework, penalties, rejections, or costs arising from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>incorrect labels;<\/li>\n\n\n\n<li>missing information;<\/li>\n\n\n\n<li>mixed cartons;<\/li>\n\n\n\n<li>wrong product declarations;<\/li>\n\n\n\n<li>incomplete customs documents;<\/li>\n\n\n\n<li>operational incompatibilities;<\/li>\n\n\n\n<li>inaccurate SKU data;<\/li>\n\n\n\n<li>non-compliant product packaging;<\/li>\n\n\n\n<li>delayed customer feedback or approvals.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Where such issues require correction or reprocessing, we may invoice additional service fees.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">12. Pricing, Quotes and Payment<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Our pricing is based on operational scope, product type, volume, country, carrier costs, warehouse processes, handling complexity, and customer-specific service requirements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Unless otherwise agreed in writing:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>all fees are payable in accordance with the agreed quotation or invoice terms;<\/li>\n\n\n\n<li>prices are exclusive of applicable taxes, duties, bank charges, customs fees, and third-party service charges unless stated otherwise;<\/li>\n\n\n\n<li>additional services requested by the customer may be separately charged.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We may suspend services for overdue invoices, disputed amounts not raised in good faith, credit limit issues, or repeated payment delays.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If payment is made by bank transfer, card, direct debit, or another approved method, the customer must ensure that payments are completed without deduction unless agreed in advance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any late payment may result in interest, collection costs, and operational suspension to the extent permitted by law.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">13. Website Prices and Portal Quotes<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Any prices, rate tables, estimates, or service references displayed on our website are for reference and general information only.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Website prices are not final service commitments and may not reflect the full operational scope of a specific request.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Final service fees are determined based on:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>operation scope;<\/li>\n\n\n\n<li>product type;<\/li>\n\n\n\n<li>volume;<\/li>\n\n\n\n<li>country;<\/li>\n\n\n\n<li>carrier costs;<\/li>\n\n\n\n<li>warehouse process;<\/li>\n\n\n\n<li>customer-specific portal quote;<\/li>\n\n\n\n<li>any special handling or compliance requirements.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Portal quotes are valid only for the period stated in the quote. If no validity period is stated, the quote may be updated depending on operational conditions, availability, carrier pricing, market changes, or revised service requirements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A portal quote is only binding once accepted and confirmed according to the applicable process.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">14. Third-Party Service Providers<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may use third-party service providers to support our operations, including cloud systems, analytics, transport partners, payment providers, technical infrastructure, and affiliated operational entities within the APEXX GLOBAL group structure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These parties may assist with:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>hosting and cloud-based systems;<\/li>\n\n\n\n<li>shipment and logistics coordination;<\/li>\n\n\n\n<li>warehouse and fulfillment support;<\/li>\n\n\n\n<li>operational communications;<\/li>\n\n\n\n<li>payment processing and invoicing;<\/li>\n\n\n\n<li>security, monitoring, and reporting;<\/li>\n\n\n\n<li>customs, transport, and related service workflows.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Where third parties are used, we remain responsible for our own service obligations only to the extent stated in these Terms and any applicable written agreement. Third-party services are subject to their own terms, conditions, and operational limits.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">15. Operational Delays and Force Majeure<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We are not liable for delays, failures, or service interruptions caused by events beyond our reasonable control.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These may include, without limitation:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>natural disasters;<\/li>\n\n\n\n<li>fire, flood, storm, earthquake, or weather-related disruptions;<\/li>\n\n\n\n<li>war, terrorism, civil unrest, or labor disputes;<\/li>\n\n\n\n<li>governmental actions or official authority delays;<\/li>\n\n\n\n<li>customs holds;<\/li>\n\n\n\n<li>carrier failures;<\/li>\n\n\n\n<li>port congestion;<\/li>\n\n\n\n<li>cyber incidents beyond our reasonable control;<\/li>\n\n\n\n<li>power outages or infrastructure failures;<\/li>\n\n\n\n<li>warehouse access restrictions;<\/li>\n\n\n\n<li>pandemic-related disruptions;<\/li>\n\n\n\n<li>supplier or customer-caused delays;<\/li>\n\n\n\n<li>failures of third-party systems or logistics partners.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">In such cases, we may suspend or extend performance for the period of the disruption and take reasonable operational efforts to resume services as soon as practicable.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">16. Limitation of Liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Subject to applicable law:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>we shall not be liable for indirect, incidental, special, consequential, or punitive damages;<\/li>\n\n\n\n<li>we shall not be liable for loss of profit, revenue, business, goodwill, market opportunity, or anticipated savings;<\/li>\n\n\n\n<li>we shall not be responsible for carrier delays, customs delays, marketplace delays, Amazon-related issues, or delays caused by official authorities;<\/li>\n\n\n\n<li>we shall not be liable for losses resulting from inaccurate customer instructions, incomplete documentation, or non-compliant goods;<\/li>\n\n\n\n<li>we shall not be responsible for damage arising from product defects, inherent product fragility, or inadequate packaging provided by the customer or its suppliers.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under applicable law, including liability for intent, gross negligence, or mandatory statutory obligations where applicable.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If liability is established, our total aggregate liability for any claim arising out of or in connection with the services shall be limited to the amount paid by the customer for the specific service giving rise to the claim, unless mandatory law requires otherwise.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">17. Data Protection and Privacy<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We process personal data in connection with our services, customer portal, operational workflows, and business communications.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Our data processing practices are governed by our Privacy Policy, which forms an integral part of the overall service framework and should be reviewed separately.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where personal data is shared with us in the course of service use, the customer is responsible for ensuring that it has a lawful basis to provide such data and, where required, to instruct us to process it.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">18. Suspension and Termination of Services<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may suspend or terminate services, in whole or in part, with immediate effect or on notice where appropriate, if:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the customer breaches these Terms;<\/li>\n\n\n\n<li>payment is overdue;<\/li>\n\n\n\n<li>the customer provides unlawful, unsafe, misleading, or incomplete information;<\/li>\n\n\n\n<li>products are prohibited, non-compliant, or operationally unacceptable;<\/li>\n\n\n\n<li>continued service would create legal, security, operational, or reputational risk;<\/li>\n\n\n\n<li>we are required to do so by law, authority, or operational necessity.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Upon termination or suspension, the customer remains responsible for outstanding fees, charges for completed services, and any costs associated with handling, storage, return, disposal, or transfer of goods, where applicable.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">19. Changes to These Terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may update these Terms from time to time to reflect operational, legal, technical, or commercial changes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The updated version will apply from the date it is published or from any later effective date stated by us. Continued use of our services after the effective date constitutes acceptance of the updated Terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where a change materially affects ongoing services, we may notify customers through the customer portal, email, or another reasonable communication channel.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">20.
